Nielsen to acquire DoubleVerify in $2.15B deal to expand media measurement capabilities

Nielsen has entered into a definitive agreement to acquire DoubleVerify in an all-cash transaction valued at approximately $2.15 billion, a move that combines television audience measurement with digital media verification and advertising analytics. The acquisition is expected to strengthen Nielsen’s position as an independent provider of cross-platform media measurement and intelligence.

Under the terms of the agreement, Nielsen will acquire all outstanding shares of DoubleVerify for $18.50 per share in cash, representing a premium to the company’s recent trading price. The transaction has been unanimously approved by the boards of directors of both companies and is expected to close in the fourth quarter of 2026, subject to shareholder approval, regulatory clearances, and other customary closing conditions.

The combined company will bring together Nielsen’s audience measurement data with DoubleVerify’s capabilities in media quality, fraud detection, brand safety, suitability, attention measurement, and campaign performance. Nielsen said the integration is intended to provide advertisers, agencies, publishers, and media platforms with a more comprehensive view of campaign effectiveness across both traditional and digital channels.

According to Nielsen, the acquisition reflects increasing demand for independent measurement solutions as media consumption continues to shift across connected TV, streaming, social platforms, retail media, and the open web. By combining complementary datasets and technologies, the company aims to help clients better measure audiences, verify ad delivery, and evaluate advertising outcomes across multiple environments.

DoubleVerify will continue supporting its existing customers while the transaction moves through the approval process. The company currently serves brands, agencies, publishers, and advertising platforms worldwide, providing tools to verify that ads are viewable, fraud-free, brand-safe, and delivered to the intended audiences.

The deal also expands Nielsen’s presence in the fast-growing digital advertising ecosystem. While Nielsen has traditionally focused on television and audience measurement, the addition of DoubleVerify’s verification and media quality capabilities broadens its offering as advertisers seek unified measurement across an increasingly fragmented media landscape.

The acquisition comes amid continued consolidation across the advertising technology and measurement sectors, where companies are expanding their data, analytics, and verification capabilities to meet growing demand for independent, cross-platform measurement solutions. Industry observers expect the transaction to create one of the largest independent media intelligence providers serving advertisers, agencies, publishers, and platforms.

If completed, the acquisition will represent one of the largest transactions in the media measurement industry in recent years, further reshaping the competitive landscape for advertising analytics and campaign measurement.
